NOTICE IS HEREBY GIVEN that the Borough Council (the “Council”) of the Borough of Conshohocken, Montgomery County, Pennsylvania (the “Borough”), at a meeting of Council, to be duly called and held on Wednesday, January 21, 2026 at 7:00 p.m., or, alternatively, on a date which is not less than three (3) days nor more than thirty (30) days from the date of publication of this Notice, to be held at Borough Hall, 400 Fayette Street, Conshohocken, Pennsylvania, will consider and may enact an ordinance (the “Ordinance”) authorizing, among other things, the incurrence of non-electoral indebtedness of the Borough in the maximum aggregate principal amount of up to $12,000,000, to be evidenced by the Borough’s General Obligation Bonds, Series of 2026, to be issued by the Borough (collectively, the “Bonds”).

Proposed Parameters Ordinance

            The caption and summary of the Ordinance to be considered by Council at such meeting is as follows:

AN ORDINANCE OF THE BOROUGH OF CONSHOHOCKEN BOROUGH COUNCIL, MONTGOMERY COUNTY, PENNSYLVANIA (THE “BOROUGH”) PURSUANT TO THE ACT OF THE GENERAL ASSEMBLY OF THE COMMONWEALTH OF PENNSYLVANIA, KNOWN AS THE LOCAL GOVERNMENT UNIT DEBT ACT, 53 Pa. C.S. Chs. 80-82 (THE “DEBT ACT”); SETTING FORTH ITS INTENTION TO AUTHORIZE AND DIRECT THE INCURRING OF NON-ELECTORAL DEBT THROUGH THE ISSUANCE OF GENERAL OBLIGATION BONDS (COLLECTIVELY, THE “BONDS”) IN A MAXIMUM AGGREGATE PRINCIPAL AMOUNT OF UP TO $12,000,000 FOR THE PURPOSE OF PROVIDING FUNDS TO FINANCE (1) THE DEVELOPMENT AND DESIGN OF A NEW PUBLIC SAFETY FACILITY; (2) CAPITAL REPAIRS AND IMPROVEMENTS TO THE BOROUGH’S VETERAN’S MEMORIAL PLAZA; (3) CAPITAL IMPROVEMENTS AND REPAIRS TO ROADS AND TRANSPORTATION INFRASTRUCTURE LOCATED IN THE BOROUGH; AND (4) THE COSTS OF ISSUING THE BONDS (COLLECTIVELY, THE “PROJECT”); MAKING CERTAIN FINDINGS AND DETERMINATIONS IN CONNECTION WITH THE PROJECT; ACCEPTING A NEGOTIATED PROPOSAL FOR THE PURCHASE OF THE BONDS; PROVIDING THAT THE BONDS, WHEN ISSUED, SHALL CONSTITUTE A GENERAL OBLIGATION OF THE BOROUGH; AUTHORIZING THE DESIGNATION OF THE BONDS AS A “QUALIFIED TAX-EXEMPT OBLIGATION” AS DEFINED IN SECTION 265(b)(3)(B) OF THE INTERNAL REVENUE CODE OF 1986, AS AMENDED (THE “CODE”); PROVIDING FOR THE MANNER OF EXECUTION AND OTHER PROVISIONS OF THE BONDS; APPOINTING A PAYING AGENT; COVENANTING TO BUDGET IN EACH FISCAL YEAR WHEN DUE; PLEDGING THE FULL FAITH, CREDIT AND TAXING POWER OF THE BOROUGH FOR THE TIMELY PAYMENT OF DEBT SERVICE ON THE BONDS; ESTABLISHING A SINKING FUND AND PROVIDING FOR PAYMENT OF THE BONDS THEREFROM; DIRECTING THE DEPOSIT OF THE PROCEEDS OF THE BONDS; AUTHORIZING AND DIRECTING THE PREPARATION, VERIFICATION AND FILING OF A DEBT STATEMENT, BORROWING BASE CERTIFICATE AND RELATED MATERIAL WITH THE PENNSYLVANIA DEPARTMENT OF COMMUNITY AND ECONOMIC DEVELOPMENT TOGETHER WITH AN APPLICATION BY THE BOROUGH FOR THE APPROVAL OF THE INCURRENCE OF SUCH NON-ELECTORAL DEBT AND ISSUANCE OF THE BONDS; MAKING CERTAIN COVENANTS WITH RESPECT TO THE BONDS RELATING TO FEDERAL TAX AND SECURITIES LAWS; AUTHORIZING AND DIRECTING THE EXECUTION AND DELIVERY OF THE BONDS AND SUCH OTHER DOCUMENTS AS MAY BE NECESSARY OR ADVISABLE IN CONNECTION WITH THE ISSUANCE OF THE BONDS, UPON THE APPROVAL OF PENNSYLVANIA DEPARTMENT OF COMMUNITY AND ECONOMIC DEVELOPMENT; DIRECTING THE PROPER OFFICERS AND OFFICIALS OF THE BOROUGH TO DO ALL THINGS NECESSARY TO CARRY OUT SUCH ORDINANCE; AND RESCINDING ALL INCONSISTENT ORDINANCES. 

A copy of the full text of the Ordinance described above may be examined or inspected by any resident at the offices of the Borough located at Borough Hall, 400 Fayette Street, Conshohocken, Pennsylvania, on any business day between the hours of 8:30 a.m. and 4:30 p.m.

The Ordinance currently on file may be amended prior to enactment by the Borough, to reflect the details of the proposal (the “Proposal”) of the purchaser of the Bonds (the “Purchaser”) to be presented to Council.  The Ordinance may be amended in any other respect as Council may deem appropriate or as may be required by the Proposal of the Purchaser.

This Notice is given in accordance with the requirements of Section 8003 of the Local Government Unit Debt Act, as amended, of the Commonwealth of Pennsylvania.
